เงื่อนไขพิเศษแนบใบสั่งซื้อ (ตัวอย่างที่ 1)
บันทึกนี้เกี่ยวกับการค้าระหว่างประเทศ เป็นความรู้เฉพาะทางสำหรับผู้ที่ติดต่อซื้อขายระหว่างประเทศซึ่งในกรณีที่ทำใบสั่งซื้อ จำเป็นที่จะต้องมีเงื่อนไขพิเศษแนบท้ายเพื่อให้เกิดความชัดเจนระหว่างสิทธิและหน้าที่ของผู้ซื้อและผู้ขายที่อยู่คนละประเทศ การนำเงื่อนไขต่อไปนี้ไปปรับใช้จะต้องระมัดระวัง พิจารณาให้เหมาะสมกับบริบทของข้อตกลงและผลการเจรจาระหว่างคู่ค้าสองฝ่าย มิฉะนั้นจะผิดวัตถุประสงค์ของข้อตกลงและทำให้ไม่สามารถปฏิบัติตามสัญญาได้ ดังนั้น หากมีข้อสงสัยก่อนนำไปประยุกต์ใช้ สอบถามได้โดยจะถามหลังไมค์ก็ได้ค่ะ ยินดีแลกเปลี่ยนเพื่อให้เกิดการส่งเสริมทางการค้าระหว่างประเทศ นำมาซึ่งความมั่นคงของเศรษฐกิจไทย
ตัวอย่างเงื่อนไขพิเศษแนบท้ายใบสั่งซื้อนี้ เป็นกรณีที่สินค้ามีลักษณะทางเทคโนโลยีสูงและมูลค่าสูง การนำเข้าสินค้าจะต้องมีการทดสอบการใช้งานหรือการตรวจรับก่อนยอมรับสินค้าของผู้ขาย และอำนาจต่อรองของผู้ซื้อค่อนข้างสูงที่จะต้องให้มีการตรวจรับก่อนชำระเงินงวดสุดท้าย
Special Conditions
1. Subcontractors
The Contractor shall not subcontract any part of this Contract to any person, firm or corporation without prior approval in writing from COMPANY A The Contractor shall be directly responsible for the performance of any subcontractor employed.
2. Co-operations and Standards
The Contractor shall maintain the closet co-operation with COMPANY A as to the interpretation of his requirements, and COMPANY A reserves the right to require any part to parts which do not meet the agreed standards to be resupplied or reconstructed at the Contractor’s expenses.
3. Release of Information
The Contractor agrees not to communicate, disclose, or use in advertisement, publicity or sales promotions, any photographs or other reproductions of the work covered by this Contract, or description of the size, dimensions, quantity or quality, or other information concerning the Work, unless the written permission of COMPANY A in such instance shall be first obtained.
4. Responsibility for Design
The Contractor shall be solely responsible for the adequate design and coordinated functioning of all Spare Parts furnished under this Contract. Design requirements are stated elsewhere in the Contract Documents and the Contractor shall confirm to the best engineering practice for the operating conditions specified.
5. Co-operation with other Contractors
The Contractor, if required, shall exchange with other contractors furnishing associated …………., all necessary drawings and other information required to insure the complete and proper design and manufacture of the ……………. to be furnished under this Contract. Three (3) copies of all drawings and correspondence, relating to information interchanged between the Contractor and Contractors shall be sent to COMPANY A in Bangkok, Thailand as soon as possible.
6. Operation of Unsatisfactory ………………..
If the operation or use of the ……………….. proves to be unsatisfactory to COMPANY A, COMPANY A shall have the right to operate and use such …… until they can be taken out of service for correction by the Contractor of such latent defects, errors, or omission and for replacement in whole or in part if correction is unsuccessful or infeasible.
7. Inspection and Tests
7.1 Acceptance Test
The Final Acceptance Test shall be performed by COMPANY A. If the ……… fail to meet the Contract requirements due to the fault of the Contractor, the Contractor will be given an opportunity to rectify of replace so as to conform but without prejudice to the Contract delivery schedules. Such rectification and replacement shall be made as quickly as practicable after determination of the cause and at the expenses of the Contractor. The Contractor shall submit evidences to COMPANY A within thirty (30) calendar days, to prove that certain action has been taken in order to rectify such failure to meet requirements.
7.2 The Contractor shall have an authorized representative accompanying COMPANY A’s authorized officials and/or duly appointed representatives when Acceptance Tests are performed if required by COMPANY A.
8. Failure to Meet Requirements
At any times, COMPANY A shall have the right to require the Contractor to make any change in the ……………… covered by this Contract which may be necessary to make the …………… conform to the requirements of the Contract Documents, without additional costs to COMPANY A. Any defect in the ……………. or other failure to meet the requirements of the Contract Documents due to the fault of the Contractor including errors and omissions on the part of the Contractor, which are disclosed prior to final payment or prior to acceptance by COMPANY A after completion of all tests, whichever occurs at the later date, shall be corrected entirely at the expense of the Contractor.
9. Records to Prior Use
The Contractor shall guarantee that the …………….. to be furnished shall be new and never before used in work elsewhere, except as required during normal manufacture and testing, or in demonstration.
10. Certificate of Final Acceptance
COMPANY A will issue a Certificate of Final Acceptance at the time of satisfactory completion of all tests demonstration compliance with the Contract requirements, and payment shall be made, and Performance Bond shall be released thereafter.
11. Warranty
The Contractor warrants that the design, Spare Parts will be of the highest grade and consistent with the established and generally accepted International Standards. If any spare parts do not comply with the requirements of this Contract at the time of Final Acceptance Test the Contractor shall remedy and/or replace any spare parts found defective as soon as possible bearing all the expenses required. The Contractor shall submit evidences to COMPANY A within thirty (30) calendar days after receiving notice issued by COMPANY A to prove that certain action has been taken to correct such failure to meet the Warranty. In the case that the Contractor fails to do so within thirty (30) days, COMPANY A may remedy and/or replace such defective spare parts, and the Contractor shall pay to COMPANY A all the expense required.
12. Delivery Schedule
The delivery of the ……………….. shall arrive Bangkok, Thailand via air freight within ….………….days or months from the date of the Contract subject to shipping Clause 15.1
13. Liquidated Damages
In the event that the delivery to the Site of the ………….. is delayed for other than excusable causes beyond the delivery date specified in Clause 12 above, the actual losses to COMPANY A for the delay will be difficult or impossible to determine. Therefore, the Contractor agrees to pay to COMPANY A as liquidated damages prior to the final payment of the Contract, in the amount of two-tenth (0.2) of one percent per day of the Contract Price of those portion or portions of the …………. involved in such delay. However, the total amount of the liquidated damages shall not exceed ten (10) percent of the total Contract Price. All such liquidated damages may be recovered by COMPANY A from the Contractor in the manner provided in the paragraph concerning Defaults in the General Conditions of this Contract Documents. Cancellation of this Contract by COMPANY A for the default of the Contractor shall not relieve the Contractor from liability for liquidated damages under this paragraph accruing until such time as COMPANY A may reasonably procure the ………………….. elsewhere. The Contractor shall not be liable for liquidated damages in the event of delays caused by force majeure.
14. Ownership of the Spare Parts
The property and risk of the …………….. purchased shall pass on to COMPANY A upon shipment.
15. Shipping
Shipment shall be performed in accordance with the followings.
15.1 Import License is required for this shipment. The Contractor must not ship the ……………… prior to receipt of COMPANY A’s written authorization. Any fine or expenses caused by the unauthorized shipment will be the Contractor’s responsibility.
15.2 Partial shipment will be allowed with prior notice to COMPANY A.
15.3 Transshipment will be allowed.
15.4 The Contractor must advise COMPANY A the shipping information 3 days before the shipment is made.
15.5 The following shipping documents shall be submitted to COMPANY A. One copy shall be attached to the Air Waybill when shipment is effected.
(a) Six (6) copies of Contractor’s final invoice.
(b) Two (2) copies of packing list.
(c) Insurance policy.
15.6 The Contractor shall notify COMPANY A and send copy of Air Waybill by facsimile as soon as shipment is effected.
15.7 The expenses for air freight, documentation, insurance, inland freight and handling shall be billed to COMPANY A at the actual costs, which shall not exceed estimated contract prices.
16. Language and Numbers
All drawings, designs, specifications, manuals, name plates, markings, operating instructions, statements, schedules, notices, documents, and all written communication between COMPANY A and the Contractor, concerning this Contract, shall be in the English language and in the metric system of weight and measures and in other internationally accepted units unless otherwise specified.
17. Directions and Instructions
Directions and instructions given verbally to the Contractor’s personnel by COMPANY A or its designated personnel shall be binding upon the Contractor, provided that they are later confirmed in writing within seven (7) days.
18. Terms of Payments
The payment shall be made against an irrevocable letter of credit in …………..
confirmed by the Bank issued in favor of the Contractor upon its
presentation of the documents as required by COMPANY A. The term of
payments shall be as follows :
18.1 Payment of the C.I.F. Bangkok Price of the …………………..
(a) First Payment in the amount of ninety (90) percent of the total C.I.F.
Bangkok price of the …………. shall be made against the
presentation to the bank of the following documents :
1) Freight prepaid, negotiable Air Waybill showing the consignee as
COMPANY A.
2) Signed Final Invoice with detailed description and country to origin.
3) Packing List.
(b) Final Payment in the amount of 10% of the total Contract Price of
the ………….. shall be made upon satisfactory completion of the
Final Acceptance Test of the ……………against the presentation to the Bank of the Certificate to be issued by COMPANY A after completion of Final Acceptance Test of the …………….
18.2 Customer Clearance
COMPANY A will be responsible for the Customs Clearance and delivery of the Spare Parts to the Site.
19. Duties & Taxes
With the exception of import duty and taxes imposed by the Thai Customs Department,
the Contractor shall be responsible for the payment of the various taxes, charges and
whatever expenses incurred pertaining to the performance of this Contract, or to all
receipts of money due under this Contract according to the law, rules and regulations
existing at the time of this Contract.
